Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Maison Roboto SAS, a société par actions simplifiée registered under the laws of the French Republic, with its registered office at 229 rue Saint-Honoré, 75001 Paris, France ("Maison Roboto," "MaisonRoboto," "we," "us," or "our").

By accessing or using our website at maisonroboto.com, engaging our services, submitting a commission request, using our configurator tool, or otherwise interacting with our platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must refrain from using our services and website.

These Terms are supplemented by our Privacy Policy, which governs the collection and processing of personal data in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation). Where a separate written agreement is executed between you and Maison Roboto in connection with a specific commission, the terms of that agreement shall prevail in the event of any conflict with these general Terms.

You represent that you are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, and that you have the legal capacity to enter into binding agreements. If you are acting on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Services

Maison Roboto is a luxury fashion house specialising in the design, engineering, and production of garments, accessories, and aesthetic enhancements for humanoid robotic platforms. Our services encompass, but are not limited to, the following:

Bespoke Commission Services. Fully custom garments conceived, designed, and handcrafted in our Paris atelier for a specific robotic platform and use case. Bespoke commissions include consultation, technical survey, design development, prototyping, motion testing, final production, and white-glove delivery.

Ready-to-Wear Collections. Six curated collections, Executive Protocol, Maison Privée, Hospitality Noir, Event Spectacle, Industrial Luxe, and Bespoke Singular, each engineered for specific supported platforms and available for direct commission through our atelier.

Configurator Tool. An online platform enabling clients to explore combinations of platform, collection, material, and finish options. Configurations generated through this tool serve as a starting point for consultation and do not constitute a binding offer or guarantee of availability.

Consultations. Complimentary initial consultations conducted virtually or in person at our Paris atelier, as well as at our client service locations in Abu Dhabi, Los Angeles, and Singapore. Consultations are advisory in nature and do not create any obligation on either party to proceed with a commission.

Fleet Programmes. Coordinated design, production, and delivery services for corporate clients deploying multiple robotic units. Fleet programmes may include volume pricing, shared pattern libraries, seasonal refresh schedules, and dedicated account management.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to clients with active commissions.

Commissions & Orders

Commission Initiation. A commission is formally initiated upon receipt of a signed commission agreement and the corresponding deposit payment. Prior communications, consultations, and configurator outputs do not constitute a binding commitment from either party.

Deposits. All commissions require a non-refundable deposit as specified in the commission agreement. For ready-to-wear collection pieces, the deposit is typically thirty percent (30%) of the total commission value. For Bespoke Singular commissions, the deposit is typically fifty percent (50%). Deposit amounts and payment schedules are confirmed in writing prior to commencement of work.

Production Timelines. Standard collection pieces typically require six to eight weeks from deposit confirmation. Bespoke Singular commissions require twelve to sixteen weeks. These timelines are estimates provided in good faith and may vary depending on complexity, material availability, and atelier capacity. Maison Roboto will communicate any material delay as soon as reasonably practicable.

Approval Process. Bespoke commissions include defined approval milestones: concept approval, material selection approval, and prototype approval. The Client is expected to provide timely feedback at each stage. Delays in Client approvals may result in corresponding extensions to the production timeline. Maison Roboto is not liable for delays attributable to the Client's failure to respond within the agreed timeframes.

Changes After Production Begins. Modifications requested after production has commenced may incur additional charges and extend the delivery timeline. Maison Roboto will assess the feasibility of any requested change and provide a revised estimate before proceeding. We reserve the right to decline modifications that would compromise the integrity or quality of the garment. Where a change request is accepted, the Client will be required to approve the revised scope and cost in writing before work continues.

Cancellation. Cancellation requests must be submitted in writing to [email protected]. If a commission is cancelled before production begins, the deposit shall be retained by Maison Roboto as compensation for design and planning resources already allocated. If a commission is cancelled after production has begun, the Client shall be liable for the full deposit plus the cost of all materials procured and labour performed to date, as determined by Maison Roboto in good faith. In accordance with Article L221-28 of the French Consumer Code (Code de la consommation), the right of withdrawal does not apply to goods made to the consumer's specifications or clearly personalised.

Pricing & Payment

Currency. All prices quoted by Maison Roboto are denominated in Euros (EUR) unless explicitly stated otherwise in writing. Prices displayed on our website or configurator tool are indicative and subject to confirmation in a formal commission agreement.

Taxes. All prices are exclusive of applicable value-added tax (VAT), customs duties, and import levies unless expressly stated otherwise. The Client is responsible for all taxes, duties, and fees imposed by the jurisdiction of delivery. For clients within the European Union, French VAT at the prevailing rate will be applied in accordance with Directive 2006/112/EC.

Accepted Payment Methods. We accept payment by bank wire transfer (SEPA and international SWIFT), major credit and debit cards (Visa, Mastercard, American Express), and, for approved corporate accounts, net-30 invoice terms. Payment by cryptocurrency is not accepted. All payments must be received in cleared funds before the corresponding production milestone commences.

Payment Schedule. Unless otherwise specified in the commission agreement, the payment schedule for bespoke commissions is as follows: deposit upon commission acceptance, a second instalment upon prototype approval, and the final balance prior to delivery. Ready-to-wear collection commissions require full payment upon commission acceptance.

Non-Refundable Deposits. Deposits are non-refundable once production has commenced. This reflects the bespoke nature of our work: materials are procured specifically for each commission, and artisan time is allocated on the basis of confirmed orders. In the event that Maison Roboto is unable to fulfil a commission due to circumstances within our control, the deposit will be refunded in full.

Late Payment. Invoices not settled by the due date shall bear interest at the rate specified in Article L441-10 of the French Commercial Code (Code de commerce), calculated from the day following the payment due date. A fixed recovery indemnity of forty euros (EUR 40) shall also be due in accordance with Article D441-5 of the same code. Maison Roboto reserves the right to suspend work on any active commission where payment is overdue.

Intellectual Property

Ownership of Designs. All designs, patterns, technical drawings, digital renderings, prototypes, and associated intellectual property created by Maison Roboto in the course of a commission remain the exclusive property of Maison Roboto SAS until full payment has been received. Upon receipt of final payment, the Client receives the physical garment and a limited, non-exclusive licence to use the garment for its intended purpose.

Usage Licence. The licence granted to the Client upon full payment permits the use, display, and deployment of the garment on the specified robotic platform for commercial or private purposes. This licence does not transfer ownership of the underlying design, pattern, or intellectual property. The Client may photograph and feature the garment in their own promotional materials, provided that Maison Roboto is credited as the designer where reasonably practicable.

Reproduction Prohibited. No garment, design, pattern, or any element thereof may be reproduced, reverse-engineered, duplicated, or adapted without the prior written consent of Maison Roboto. This prohibition applies regardless of the medium or technology used, including but not limited to 3D scanning, digital replication, and machine-learning-based pattern extraction. Unauthorised reproduction constitutes an infringement of our intellectual property rights under the French Intellectual Property Code (Code de la propriété intellectuelle) and applicable international treaties.

Portfolio Rights. Maison Roboto retains the right to photograph, document, and feature completed commissions in our portfolio, website, press materials, and social media channels, unless the Client has requested confidentiality in writing prior to the commencement of the commission. Confidential commissions will not be disclosed without the Client's express consent.

Third-Party Intellectual Property. Where a commission incorporates the Client's trademarks, logos, or other proprietary elements, the Client represents and warrants that it holds the necessary rights to authorise their use. The Client agrees to indemnify Maison Roboto against any claims arising from the use of Client-supplied intellectual property.

Warranty & Returns

Artisan Warranty. Every garment produced by Maison Roboto is covered by a twelve-month artisan warranty from the date of delivery. This warranty covers defects in materials and craftsmanship under normal conditions of use for the intended robotic platform. The warranty does not cover damage resulting from misuse, improper installation, exposure to conditions outside the garment's specified operating parameters, unauthorised modifications, or normal wear consistent with the garment's expected service life.

Statutory Guarantees. In addition to our artisan warranty, consumers within the European Union benefit from the legal guarantee of conformity provided by Articles L217-3 to L217-20 of the French Consumer Code, as well as the guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code (Code civil). These statutory guarantees apply independently of and in addition to any contractual warranty.

No Returns on Bespoke Items. Due to the personalised nature of our work, bespoke commissions and made-to-order garments are not eligible for return or exchange. This is consistent with the exception to the right of withdrawal for personalised goods set forth in Article L221-28, 3° of the French Consumer Code and Article 16(c) of Directive 2011/83/EU on consumer rights.

Defect Remediation. If a defect covered by the artisan warranty is identified within the warranty period, the Client must notify Maison Roboto in writing at [email protected] within thirty (30) days of discovery, accompanied by photographic or video documentation of the defect. Upon verification, Maison Roboto will, at its sole discretion, repair the garment, produce a replacement, or issue a partial or full credit toward a future commission. Return shipping for warranty claims will be arranged and borne by Maison Roboto.

Inspection Upon Delivery. The Client is encouraged to inspect the garment promptly upon delivery and to report any visible defects or discrepancies within seven (7) calendar days. Claims submitted after this period will be assessed under the artisan warranty terms described above.

Limitation of Liability

Limitation. To the maximum extent permitted by applicable law, the total aggregate liability of Maison Roboto SAS arising out of or in connection with any commission, service, or use of our website shall not exceed the total value of the commission giving rise to the claim. This limitation applies to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise.

Exclusion of Indirect Damages. In no event shall Maison Roboto be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profit, loss of revenue, loss of business opportunity, reputational damage, or loss of data, even if we have been advised of the possibility of such damages.

Platform Compatibility. Maison Roboto designs garments based on the platform specifications provided by the Client and publicly available technical documentation. We accept no liability for compatibility issues, performance degradation, or damage to the robotic platform where the Client has provided incorrect, incomplete, or outdated platform specifications. It is the Client's responsibility to ensure that all technical information furnished to Maison Roboto is accurate and current at the time of commission.

Third-Party Platforms. Maison Roboto is not affiliated with, endorsed by, or authorised by any robotic platform manufacturer unless expressly stated. We do not warrant that our garments have been tested or approved by the platform manufacturer. Any claims regarding platform compatibility are based solely on our own independent engineering assessment.

Mandatory Consumer Protections. Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law, including the mandatory consumer protection provisions of French and European Union law.

Governing Law

Applicable Law. These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the French Republic, without regard to its conflict of laws provisions.

Jurisdiction. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of Paris, France. The parties irrevocably submit to the jurisdiction of such courts and waive any objection to venue or inconvenient forum.

Consumer Dispute Resolution. In accordance with Articles L611-1 to L616-3 of the French Consumer Code, consumers who are unable to resolve a dispute directly with Maison Roboto may refer the matter to a certified consumer mediator (médiateur de la consommation). Details of our designated mediator will be provided upon written request or in the event of a formal complaint. Consumers within the European Union may also submit complaints through the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

Language. These Terms are drafted in English. In the event of any discrepancy between the English version and a translation into any other language, the English version shall prevail, except where the applicable law of the Client's jurisdiction requires otherwise.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party ("Force Majeure Event"). Force Majeure Events include, but are not limited to: natural disasters, epidemics or pandemics, acts of war or terrorism, civil unrest, government sanctions or embargoes, disruption to supply chains, failure of critical infrastructure (including energy, telecommunications, or transportation), labour disputes not involving the affected party's own employees, and regulatory changes that render performance unlawful or commercially impracticable.

The party affected by a Force Majeure Event shall notify the other party in writing as soon as reasonably practicable, describing the nature of the event and its expected duration. The affected party shall use reasonable efforts to mitigate the impact of the event and to resume performance as soon as conditions permit.

If a Force Majeure Event continues for a period exceeding ninety (90) consecutive days, either party may terminate the affected commission by written notice. In such circumstances, Maison Roboto will refund any payments received for work not yet performed, less a reasonable allocation for materials already procured and labour already expended. Neither party shall have any further liability to the other in respect of the terminated commission, except for obligations accrued prior to the date of termination.

Modifications to Terms

Maison Roboto reserves the right to amend, update, or replace these Terms at any time. Revised Terms will be published on our website at maisonroboto.com/terms.html, and the "Last updated" date at the top of this page will be amended accordingly.

For material changes that substantively affect the rights or obligations of our clients, we will endeavour to provide at least thirty (30) days' advance notice by email to clients with registered accounts or active commissions. Your continued use of our services or website following the publication of revised Terms constitutes your acceptance of those revisions.

Changes to these Terms shall not apply retroactively to commissions that have already been formally initiated under the prior version of the Terms, unless the Client expressly agrees otherwise in writing. The version of the Terms in effect at the time a commission agreement is executed shall govern that commission for its full duration.

We recommend that you review these Terms periodically. The most current version will always be available on our website.
